Introduction
Seychelles is an archipelago of 115 islands in the western Indian Ocean northeast of the island of Madagascar, with an area of 455 square kilometers and a population of approximately 90,000. Seychelles is a republic and gained its independence since 1976. It has a mixed legal system of English common law, French civil law and customary law. The capital, principal city and leading port, is Victoria. The official language is Creole, English and French. Seychelles has good political stability with a democratically elected Government. The Seychelles economy is primarily based on tourism, commercial fishing and the offshore financial services industry.

Seychelles IBC is the most popular type of offshore corporation available in Seychelles, and is governed by the International BusinessCompanies Act 1994. As most other offshore corporations, Seychelles IBC is a tax free corporation designed for engagement into all forms of international business, with minimal reporting and record-keeping requirements, and comprehensive confidentiality features. Exchange control is in operation in the Seychelles but most importantly does not apply to IBCs. In order to qualify as an IBC, a Seychelles IBC may not carry on business in Seychelles or may not own real estate in Seychelles. It may not do banking, insurance and registered agent business without special license.
Company Name
Corporate documentation must be either English or French. If any other language is used, it must be accompanied by a translation in either English or French. Both English and Chinese character name can be included in a company’s Certificate of Incorporation. A name which is identical or similar to a company already incorporated or any wording that implies patronage to the Seychelles, or any other government, insurance, royal, imperial or any other name that may imply that a company intends to undertake a licensable or undesirable activity is disallowed.

Seychelles IBC is the most popular type of offshore corporation available in Seychelles, and is governed by the International Business Companies Act 1994.
Share Capital
There is no limitation to the maximum authorized capital. The type of shares able to issue included: registered shares, bearer shares, shares of no par value, preference shares, redeemable shares and shares with or without voting rights. However, Seychelles IBCs are normally incorporated with registered shares with authorized share capital of USD 100,000.
Shareholders
The minimum number of shareholder is one who can be either a natural person or a body corporate.
Directors
A minimum of one director is required who may be either a natural person or a body corporate. Details of the shareholders and directors are not available for public inspection.
Company Secretary
A company secretary is not required for a Seychelles IBC although in practice it is customary to do so. The secretary may be a natural person or body corporate, of any nationality.
Registered Office and Agent
Evrey Seychelles IBC must have a registered office and a qualified Registered Agent in the Seychelles.
Incorporation Time
Incorporating and preparing initial documentation require around 10 working days.
Annual Return
There is no requirement to file an annual return.
Annual General Meeting (AGM)
There is no requirement to hold an annual general meeting.
Retention of Books and Records
There is no requirement to file financial statements, but a company must keep records to reflect its financial position.
